Terms of Use

1. Scope and Parties

These Terms of Use govern access to and use of the Solerum Partners website (solerumpartners.com) and platform (app.solerumpartners.com), operated by Neurontech Consulting LTDA, CNPJ 61.584.585/0001-29, represented by Bruno Caram de Azevedo ("Solerum", "we", "us").

Access is restricted exclusively to institutional counterparties — banks, credit institutions, regulated credit funds, family offices, licensed servicers, and other professional market participants. Use by retail consumers or natural persons acting outside a professional capacity is not permitted.

2. Nature of Services

Solerum Partners provides M&A-style advisory services for the sale and acquisition of non-performing loan (NPL) and distressed credit portfolios in Europe. Specifically:

• Transaction advisory and mandate management for sellers
• Curated deal access and due diligence facilitation for buyers
• Portfolio valuation analysis and investment memorandum preparation
• A digital workspace for managing the deal lifecycle end-to-end

Solerum does not:

• Hold, transfer, or manage client funds at any time
• Provide regulated investment advice under MiFID II
• Act as a credit servicer within the meaning of Directive 2021/2167/EU or the German KrZwMG
• Guarantee the execution, pricing, or outcome of any transaction

3. Platform Access

Access to the platform requires registration with a valid corporate email address and acceptance of applicable NDAs. Solerum reserves the right to approve or reject any registration at its sole discretion. Accounts may be suspended or terminated for breach of these Terms or applicable law.

4. Confidentiality

All deal-related information accessed through the platform — including data tapes, investment memoranda, valuations, bids, and Q&A — is strictly confidential. Users undertake not to disclose any such information to third parties except as permitted under the applicable NDA executed on the platform. This obligation survives termination of platform access.

5. No Investment Advice

Nothing on this website or platform constitutes investment advice, a recommendation to buy or sell any financial instrument, or an offer to enter into any transaction. All information is provided for informational purposes only. Users are solely responsible for their own investment decisions and must conduct independent due diligence.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Solerum Partners shall not be liable for any indirect, incidental, consequential, or punitive damages arising from use of or reliance on this website or platform, including but not limited to loss of profit, loss of data, or failed transactions. Solerum's aggregate liability for direct damages shall not exceed the fees actually paid by the relevant party in the three months preceding the claim.

7. Intellectual Property

All content, software, and platform features are the exclusive property of Neurontech Consulting LTDA. Users may not copy, reproduce, modify, or distribute any part of the platform without prior written consent.

8. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Berlin-Mitte, Germany.

9. Changes to These Terms

We reserve the right to update these Terms at any time. Continued use of the platform after notice of changes constitutes acceptance. Material changes will be communicated by email to registered users.
